Job DescriptionDirect Counsel is seeking a Mid-Level Capital Markets Associate Attorney to join a leading global law firm.
Location: New York, NY (Hybrid)
Overview:
This role is ideal for a dynamic mid-level associate with a strong background in capital markets and public company advisory work. The successful candidate will support a national practice representing innovative issuer and underwriter clients in the life sciences, technology, and digital asset sectors.
Responsibilities:

Advise public company clients on securities law compliance, disclosure, and reporting obligations

Draft and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 13/16 reports

Support capital markets transactions (IPOs, follow-on offerings, etc.)

Contribute to corporate governance and public company advisory matters

Collaborate with partners and associates nationwide on complex transactions
Qualifications:

JD and active membership in the New York Bar

At least 3 years of experience representing issuers and underwriters in capital markets matters

Familiarity with Securities Act of 1933 and Securities Exchange Act of 1934

Experience working with large and mid-cap public companies

Knowledge of NYSE/Nasdaq listing standards

Prior Am Law 100 experience preferred

Compensation: $260,000 – $390,000 DOE + comprehensive benefits (medical, dental, vision, 401(k)).
Schedule: Full-time, hybrid (regular in-office presence with flexibility)
