Job DescriptionDirect Counsel is seeking a Capital Markets Associate to join a leading Am Law firm.
Location: Charlotte, NC or New York, NY
Position Overview:
This role is ideal for a junior associate with 1–2 years of experience in agency CMBS securitizations and a strong desire to develop within a premier Capital Markets practice. The associate will work on complex commercial mortgage loan securitizations and have the opportunity to collaborate with top-tier partners and clients across the country.
Key Responsibilities:

Draft, review, and negotiate transaction documents, including:

Pooling and servicing agreements

Offering memoranda
-
Mortgage loan purchase agreements

Certificate purchase agreements
-
Placement agency agreements
-
Legal opinions and ancillary contracts

Manage and coordinate all aspects of the closing process for sophisticated capital markets transactions.

Serve as a proactive team member with a strong sense of ownership over deliverables.

Communicate effectively with clients, colleagues, and opposing counsel.
Qualifications:

J.D. from an accredited law school and active bar membership in North Carolina or New York (or ability to waive in).

1–2 years of experience in commercial mortgage-backed securities (CMBS) or broader capital markets transactional work.

Exceptional attention to detail paired with excellent written and oral communication skills.

Demonstrated ability to work collaboratively in a fast-paced, high-volume environment.
Compensation:
Anticipated annual base salary range: $225,000 – $235,000, commensurate with experience and location.
