Role: Associate Corporate Counsel - IT Transactions

Location: TCS Office based in New York, NY or Edison, NJ (expectation is for the role to be based out of one of these offices for 3 days a week and this can increase due to business need)

Responsibilities:

Corporate Counsel & Associate Corporate Counsel - Technology/Software Licensing, IT, BPO, Engineering and other professional services outsourcing transactions

Job Description:

Reviewing, drafting and negotiating inbound and outbound procurement, sales and revenue generating agreements.

•Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs.

Desired Skills & Experience:

•Minimum of 3 years of relevant work experience in structuring, negotiating, and drafting Outsourcing, IT and Services contracts as a service provider/vendor.

•Must enjoy working with sales teams in the technology and outsourcing industry.

•Must be able to work independently, be self-motivated and have excellent organizational, communication, and problem-solving abilities.

•Must be able to take a pragmatic approach to minimize redlines

•Must have strong negotiation skills with the ability to understand the customer perspective and reach a solution to protect the organization interests

•Must enjoy a fast-paced environment with multiple clients and stakeholders

•Must have experience working with internal stakeholders such as HR, Information Security, finance and to incorporate their comments into the document

•Must be able to take a deal from the RFP stage to signatures independently with minimal supervision

Education:

•Juris Doctorate (JD) from an accredited law school or equivalent law degree from an international legal education institution, with strong academic credentials.

• The candidate must be, or eligible to be, licensed in good standing to practice law within the US.
