Location: New York, NY (hybrid)

Salary Range: $150k - $275k (DOE - Looking for several different levels)

Position Overview
We are seeking a knowledgeable and experienced SPAC Attorney to join our legal team. The ideal candidate will have a robust understanding of corporate law with specific expertise in Special Purpose Acquisition Companies (SPACs). This role involves advising clients on regulatory compliance, M&A transactions, and creating legal strategies that ensure successful IPOs and investments.

Key Responsibilities

  • Advise clients on legal issues related to SPAC transactions and corporate governance.
  • Conduct thorough legal research and due diligence to ensure compliance with SEC regulations and other legal requirements.
  • Draft and negotiate contracts related to mergers and acquisitions, financing, and other corporate matters.
  • Assist in the structuring and execution of SPAC transactions, including IPOs and business combinations.
  • Provide guidance on risk assessment and mitigation strategies for corporate clients.
  • Collaborate with investment banking teams to facilitate smooth transactions and adhere to financial market regulations.
  • Stay updated on changes in legal regulations affecting SPACs and provide proactive advice to clients.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in relevant jurisdictions.
  • Minimum of 5 years of experience in corporate law, with a focus on SPACs, mergers and acquisitions, and regulatory compliance.
  • Strong knowledge of SEC regulations and corporate governance principles.
  • Proficiency in financial markets and investment banking practices.
  • Excellent legal research and writing skills.
  • Demonstrated ability to negotiate complex contracts and agreements.
