Job Description
The Paralegal will provide administrative support to the Office of General Counsel with a primary focus on the Corporate Governance function.
- Support all functions of the Office of General Counsel, including the Board of Directors, litigation, regulatory, and corporate governance.
- Act as liaison to the Board of Directors, other departments within the Bank, and outside agencies, including high-level executives such as the CEO, CFO and other members of the Senior Management Team.
- Responsible for corporate governance functions, including:
- Providing logistical support to the Board;
- Scheduling Board and Committee meetings, creating meeting invites, maintaining master Board/Committee agendas and drafting meeting agendas;
- Receiving, preparing and distributing meeting materials on BoardVantage; and
- Tracking director attendance and director compensation.
- Responsible for annual director and officer questionnaire creation, distribution and tracking.
- Responsible for Board/Committee self-assessment questionnaires creation, distribution and tracking.
- Provide technical support and guidance on BoardVantage to Directors.
- Assist in processing subpoenas, levies and other judicial notices the Bank receives.
- Assist in processing decedent claims, including reviewing documents sent by account officers to ensure compliance with the Decedent Claims Policy.
- Perform general administrative duties to include filing, document imaging, and other tasks as assigned.
- Work independently on special projects relating to legal, corporate governance, and corporate secretarial matters.
- Support functions of Office of General Counsel related to International Private Banking and Regional Management.
- Create documents, spreadsheets, and presentations using MS Office Suite.
Qualifications
- Computer efficiency with Microsoft Office programs, including Excel, and knowledge of BoardVantage (or ability to quickly learn)
- Ability to communicate with Bank’s Directors and Executive Management, as well as employees in other departments
- Work well under pressure and deadlines
- Highly organized, motivated and proactive
- Discreet, diligent and dependable character with a strong work ethic
- Excellent communication and writing skills
- Strong attention to detail and follow-through
- Must be able to perform and prioritize multiple tasks simultaneously and efficiently meet constant deadlines while maintaining a professional manner
- Ability to interact calmly, patiently, and professionally in challenging situations
- Excellent phone manner and with a client service centric mindset
Compensation
The expected annual salary for this position is between $65,000 and $85,000 at the start of employment. A salary offer is determined on an individualized basis, taking into consideration factors such as an individual’s skills and experience. In addition to base salary, our total rewards package also includes eligibility for an annual bonus, medical, pharmacy, dental, and vision plans, life and disability insurance, employee wellness program, retirement and savings plans with employer contributions, generous holiday and paid time off schedules, parental leave, and tuition reimbursement.
