Position Overview
We are seeking a skilled Capital Markets Attorney to join our legal team. The ideal candidate will have extensive experience in financial markets and a strong understanding of the legal frameworks governing them. This role involves providing legal advice and support related to securities offerings, M&A transactions, and regulatory compliance, ensuring that our clients navigate the complex landscape of capital markets effectively.
Key Responsibilities
- Provide legal advice on mergers and acquisitions, investment banking transactions, and capital market activities.
- Conduct thorough legal research and due diligence to support various transactions.
- Draft, review, and negotiate contracts related to equity and debt financing, public offerings, and private placements.
- Ensure compliance with financial regulations and corporate governance standards.
- Advise clients on regulatory compliance issues related to derivatives and structured products.
- Collaborate with internal and external stakeholders to facilitate successful transaction execution.
- Stay updated on changes in securities laws and regulations affecting capital markets.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Admission to the bar in the relevant jurisdiction.
- Minimum of 5 years of experience in capital markets or corporate law, preferably within a law firm or financial institution.
- Strong knowledge of financial regulations and compliance requirements.
- Proven experience in contract negotiation and legal documentation related to capital markets transactions.
- Excellent analytical, research, and communication skills.
