Job DescriptionWe are looking for a detail-oriented and experienced Paralegal to join our team on a contract basis in New York, New York. In this role, you will provide critical support for corporate legal matters, including entity formation, compliance, and transaction support. This position requires a strong understanding of legal documentation, corporate governance, and the ability to manage multiple tasks efficiently.

Responsibilities:
• Prepare and file a variety of entity formation documents, qualifications, amendments, and withdrawals with state authorities.
• Draft organizational documents such as bylaws, partnership agreements, and board and shareholder consents.
• Handle the preparation and filing of IRS forms including Form SS-4, Form 2553, Form 2848, and Form 8821.
• Maintain compliance by preparing and filing annual reports, biennial statements, and franchise tax reports for various entities.
• Oversee stock issuance and related documentation, including capitalization tables, stock ledgers, and certificates.
• Assist with financing, mergers and acquisitions, venture capital transactions, and due diligence activities.
• Conduct legal research and monitor updates related to the Corporate Transparency Act, including preparing Beneficial Ownership Information Reports.
• Review, summarize, and update closing checklists, disclosure schedules, and legal agreements.
• Coordinate and manage the preparation of closing binders, entity structure charts, and other transaction deliverables.
• Create and maintain data rooms, manage service of process, and handle legal billing tasks.• Proficiency with legal and case management tools including Aderant, Adobe Acrobat, and CompuLaw.
• Familiarity with Automated City Register Information System (ACRIS) and corporate billing processes.
• Strong skills in briefing, calendar management, and claim administration.
• Excellent written and verbal communication abilities.
• Experience with corporate governance, legal research, and transaction coordination.
• Ability to manage multiple priorities and ensure accuracy in legal documentation.
• Knowledge of the Corporate Transparency Act and related regulatory requirements.
• Detail-oriented with the ability to work independently and meet deadlines.
