Job Description
A Vault top-30 law firm with a leading corporate practice is seeking a highly qualified Mergers & Acquisitions Associate with 3 to 6 years of experience to join its New York office. The ideal candidate will have substantial experience handling sophisticated M&A transactions, particularly in private equity and strategic acquisitions, across a range of industries.
This role offers the opportunity to work alongside market-leading partners and a collaborative team on high-profile domestic and cross-border deals. Key Responsibilities:
- Advise private equity sponsors, public and private companies, and institutional investors on mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions.
- Draft and negotiate key transaction documents, including purchase agreements, merger agreements, shareholder agreements, and other ancillary contracts.
- Oversee and coordinate due diligence processes.
- Provide strategic guidance on deal structuring and execution.
- Collaborate with attorneys across multiple practice groups, including tax, finance, antitrust, and regulatory.
Qualifications:
- J.D. from a top-tier law school.
- Admitted to practice in New York or eligible for admission.
- 3–6 years of M&A experience at a leading law firm.
- Demonstrated ability to manage significant aspects of transactions with minimal supervision.
- Excellent drafting, negotiation, and analytical skills.
- Strong academic and professional credentials.
Preferred Attributes:
- Experience working with private equity sponsors is strongly preferred.
- Familiarity with cross-border transactions and international deal structuring is a plus.
- Proven ability to thrive in a fast-paced, client-focused environment.
