Direct Counsel is seeking a Capital Markets Associate Attorney to join a leading global law firm with a strong focus on life sciences, technology, and digital asset clients. This is an excellent opportunity for a mid-level to senior corporate associate to step into a sophisticated capital markets and public company advisory practice working with innovative issuer and underwriter clients.
About the Role
The associate will work closely with public companies and handle matters involving:

Public company reporting and compliance

Corporate governance
-
Capital markets transactions

Day-to-day counseling of public companies
You will support a national practice and gain exposure to complex securities matters across major industry verticals.
Responsibilities

Conduct legal research and analysis related to securities laws and corporate matters

Draft and review SEC filings, proxy statements, Section 13/16 filings, and other disclosure documents

Assist with or manage capital markets transactions, including offerings, closings, and strategic corporate activities

Provide guidance on Securities Act and Exchange Act compliance

Collaborate with partners and cross-functional teams to support sophisticated issuer and underwriter clients

Maintain strong client communication and contribute to firm initiatives, training, and professional development
Qualifications

J.D. from an accredited law school

Admitted to practice in New York

Minimum of 5 years of capital markets experience

Experience working with large-cap and mid-cap public companies on periodic reporting and governance matters

Strong understanding of the Securities Act of 1933, Securities Exchange Act of 1934, and NYSE/Nasdaq listing requirements

Prior Am Law 100 experience preferred

Compensation
The expected salary range for this position is $365,000 – $435,000, depending on experience and location. A comprehensive benefits package is also offered, including medical, dental, vision, and 401(k).
