Salary Range: $150k - $275k (DOE - Looking for several different levels)

M&A Attorney

Position Overview
We are seeking a highly skilled M&A Attorney to join our legal team. The ideal candidate will have extensive experience in mergers and acquisitions, providing strategic legal advice, and ensuring compliance with regulatory requirements. This role will involve negotiating, drafting, and reviewing contracts, as well as conducting thorough due diligence to support our clients' business objectives.

Key Responsibilities

  • Advise clients on legal aspects of mergers and acquisitions transactions
  • Conduct due diligence assessments and prepare diligence reports
  • Draft, review, and negotiate various transaction documents, including purchase agreements and confidentiality agreements
  • Ensure compliance with applicable securities laws and regulatory requirements
  • Provide legal research and analysis on corporate and securities law issues
  • Collaborate with internal teams and external stakeholders to facilitate successful transactions
  • Assist in financial analysis related to M&A activities
  • Stay updated on regulatory changes and their impact on M&A practices
  • Support clients through the entire M&A process from initial discussions to closing

Qualifications

  • Juris Doctor (JD) degree from an accredited law school
  • Licensed to practice law in the relevant jurisdiction
  • Minimum of 5 years of experience in corporate law with a focus on mergers and acquisitions
  • Strong knowledge of corporate law, securities law, and regulatory affairs
  • Proven negotiation skills and experience in contract drafting
  • Excellent legal research and analytical skills
  • Strong communication and interpersonal skills
  • Ability to work collaboratively in a fast-paced environment
  • Detail-oriented with strong organizational skills
