Our client, a leading maritime transit company, is seeking a highly organized and proactive Paralegal to join their Legal Department. This role is essential in supporting attorneys across a wide range of legal and administrative functions. The ideal candidate will be able to work independently with minimal supervision and thrive in a fast-paced, collaborative environment that interacts with all departments across the organization.
Location: Onsite Hybrid – 3 Days in Office (New York, NY)
Duration: 3-4+ months
Pay: $45+/hour
Key Responsibilities:
- SEC Filings: Prepare and file Forms 3, 4, 5, Schedules 13D/G, Proxy Statements, and Form 8-Ks via the SEC website. Maintain filer codes and update officer/director information.
- Billing & Payments: Process payments for legal entities and jurisdictional departments (Marshall Islands, NY, Delaware, Liberia), ensuring timely compliance and good standing of subsidiaries. Manage SCAC code renewals for vessel operations.
- Corporate Records Management: Maintain and update lists of subsidiaries, officers, directors, vessel jurisdictions, SCAC codes, and other legal data. Respond to internal inquiries with accurate and current information.
- Compliance Distribution: Send monthly compliance documents to financial institutions and government agencies per contractual obligations.
- Entity & Vessel Transactions: Assist in the formation, dissolution, and name changes of companies and vessels. Draft organizational memos, meeting minutes, and SCAC applications. Manage re-domiciling of vessels.
- Document Management: Organize and maintain corporate files, minute books, and correspondence. Track warehouse storage and destruction schedules. Update contract databases and due diligence platforms.
- Administrative Support: Transcribe and revise documents, manage travel arrangements, and coordinate conference calls.
- Technology & Research: Utilize online platforms including SEC EDGAR, Mellon Investor Services, ADP, NYSE, BIMCO, and D& B. Ensure software and templates are current and functional.
• Proven experience with SEC filings and government documentation processes.
• Strong knowledge of discovery, civil litigation, and trial preparation.
• Proficiency in case management software and other legal tools.
• Familiarity with maritime regulations and related legal documentation.
• Exceptional organizational skills with the ability to manage multiple tasks efficiently.
• Excellent written and verbal communication skills.
• High proficiency in Microsoft Office and internet-based filing systems.
• Ability to work independently with minimal supervision while maintaining attention to detail.
