Role Overview
&
&
As& General Counsel, you will be the first in-house legal hire and a key member of the executive team, charting our approach to corporate governance, compliance, risk, and strategic partnerships. You’ll translate fast-moving regulatory developments into practical, business-savvy guidance that unlocks growth while protecting users, creators, and the company.

Key Responsibilities
&
Regulatory Compliance Strategy
&

Lead U.S. and international compliance across SEC, CFTC, FinCEN, OFAC, NYDFS, and global equivalents.

Develop frameworks for token-launch classification (utility vs. security), bonding-curve mechanics, KYC/AML, and consumer-fintech regulations.

Monitor legislative trends (e.g., FIT21, MiCA, IOSCO) and brief leadership on risks and opportunities.

Corporate Governance Risk Management

Advise the CEO and Board on governance, equity structure, subsidiary formation, and fundraising.

Design and maintain robust internal policies for decision-making, data privacy, IP, and employment matters.

Build relationships with regulators, external counsel, auditors, and industry bodies.

Commercial Product Counsel
&

Draft, review, and negotiate commercial, licensing, and technology deals—including app-store terms, liquidity-provider agreements, and API partnerships.

Partner with Product Engineering on feature reviews, end-user terms, and consumer-protection disclosures.

Shape creator-economy revenue-share contracts and token-launch onboarding flows.

Litigation Dispute Resolution

Oversee any civil, regulatory, or class-action matters; manage outside counsel; and drive strategy for favorable outcomes.

Establish proactive risk-mitigation programs and incident-response playbooks.

What We’re Looking For
&

5+ years& of practice with a heavy focus on crypto/blockchain, fintech, or securities law at a top firm or high-growth tech company.

Demonstrated mastery of U.S. securities analysis of digital assets, money-transmitter rules, KYC/AML frameworks, and global regulatory regimes.

Proven ability to craft creative legal solutions in ambiguous, first-of-its-kind situations.

Exceptional drafting and negotiation skills for complex commercial and token-economics agreements.

Startup grit: bias for action, comfort with velocity, and enthusiasm for building processes from scratch.

J.D. and admission to at least one U.S. state bar (NY or CA preferred).
