Associate (Senior) sought by Cleary Gottlieb Steen & Hamilton LLP in NY, NY to advise Latin American companies & govts on their capital mkts, debt finance & insolvency transactions. Reqs JD, LLM or foreign equiv & 4 yrs of exp as an Associate or rltd occupation. Must incl 4 yrs of exp in each of the following: Advising & representing Latin American private & public companies & sovereign govts on securities rules & regs, incl in the context of registered & unregistered equity & debt securities offerings, exchange offers, tender offers, consent solicitations & their ongoing reporting obligations w/ U.S. authorities; Advising Latin American countries & quasi-sovereign subdivisions on sovereign debt restructurings, incl in the negotiation w/ creditors & the drafting & use of collective action clauses; Assisting Latin American companies in fin'l distress or their creditors in their legal rights & alternatives, the negotiation of corporate reorganizations & the drafting of the rltd docs; Drafting, reviewing & negotiating legal docs in securities & financing transactions in Latin America (high-yield & investment grade), incl loan agreements & indentures, offering docs, annual reports & legal opinions; & Conducting analysis on complex areas of securities & fin'l rules & regs & drafting legal memoranda. Must be admitted to practice law in the State of NY. The base salary for associate positions is $225,000 - $435,000/yr, depending upon class yr.
