Schedule: Full-Time, Billable hours target typically 1,9002,000 annually, Hybrid/On-site

Salary: $225k - $375k base salary


The Client:

A globally recognized, AmLaw 20 law firm with a reputation for sophisticated deal-making and complex advisory work across multiple industries. The firms Investment Funds group advises prominent asset managers, financial institutions, and private equity sponsors on fund formation, regulatory compliance, and cross-border investment structuring. This lateral position is open due to strategic growth in the New York office to meet increased client demand in the private funds space.


Description

Investment Funds team handling the structuring, formation, and management of private investment funds, including private equity, hedge, credit, and hybrid funds. You will work on drafting and negotiating fund documentation, side letters, investor communications, and governance agreements.

The role includes advising clients on SEC and other regulatory considerations, conducting due diligence on fund managers and investors, and collaborating with tax, ERISA, and cross-border teams to provide holistic client solutions. This position offers an opportunity to work directly with leading sponsors and institutional investors, gaining exposure to multi-jurisdictional fund structures and complex investment strategies. For the right candidate, the role provides a long-term career trajectory toward counsel or partner track in a practice area that continues to see global growth.


Qualifications:

  • 36 years of experience in investment funds or private equity transactions at a top-tier law firm.
  • Strong knowledge of fund formation, investment management agreements, and partnership/LLC structures.
  • Familiarity with Investment Advisers Act, Securities Act, and other relevant U.S. regulatory regimes.
  • Experience negotiating with sophisticated institutional investors.
  • Strong drafting, analytical, and organizational skills.
  • Ability to manage multiple transactions simultaneously in a fast-paced environment.
  • Excellent interpersonal skills and a team-oriented approach.
  • Admission to the New York Bar (or eligibility to waive in).
